Terms of Service
These Terms of Service ("Terms") are a legal agreement between you ("you" or "user") and Mira AI LLC, an Idaho limited liability company ("Mira AI," "we," "us," or "our"). By downloading, installing, accessing, or using any Mira AI software — including the Mira Suite (comprising Mira Core, MiraScribe, Mira Code, and other Suite applications) and Mira Community (collectively, the "Software") — or by checking the acceptance box on our download page, you agree to be bound by these Terms. If you do not agree, do not download or use the Software.
1. Eligibility
You must be at least 13 years old to use the Software. If you are between 13 and 18 (or the age of majority in your jurisdiction), you must have a parent or guardian's permission. By using the Software, you represent that you meet this requirement.
2. The Software Is Local-First
Mira AI's products are designed to run primarily on your own hardware. Except where a feature explicitly requires our hosted infrastructure (such as account authentication, subscription billing, or optional relay services for Mira Community), we do not host, process, or have access to your data, conversations, files, or generated content. You are solely responsible for your own hardware, data backups, and security.
3. Accounts and Subscriptions
Community tier accounts are free and provide access to baseline features. Suite tier accounts are billed at the then-current monthly rate (currently $12/month) through Stripe. You are responsible for maintaining the confidentiality of your account credentials. Subscriptions renew automatically each billing period unless cancelled before the renewal date. Refunds, if any, are issued according to our Refund Policy, published separately on our website.
4. Acceptable Use
You agree not to: use the Software for any unlawful purpose, or to generate, store, or transmit content that is illegal under applicable law; reverse engineer, decompile, or attempt to extract source code from the Software except as permitted by applicable open-source licenses; use Mira Community's relay, messaging, voice, video, or file-sharing features to distribute malware, infringing content, or material that harasses or harms others; attempt to circumvent authentication, billing, or licensing mechanisms; resell, sublicense, or redistribute the Software without our prior written consent.
5. User Content and Generated Output
You retain ownership of content you create, store, or generate using the Software. Because the Software operates locally, we generally have no visibility into and exercise no control over this content. You are solely responsible for ensuring your use of the Software — and anything you generate, store, or share with it — complies with applicable law, including any third-party licenses governing AI models you choose to load or use.
6. Intellectual Property
The Software, including its source code, design, branding, and documentation, is owned by Mira AI LLC and protected by applicable intellectual property laws. Subject to the End User License Agreement, we grant you a limited, non-exclusive, non-transferable license to use the Software for personal or internal business use. All rights not expressly granted are reserved.
7. Mira Community and Third-Party Content
Mira Community allows peer-to-peer communication between users. We do not monitor private communications and act only as a connective relay for routing purposes where applicable. See our DMCA Notice-and-Takedown Policy below for how to report infringing content shared through the platform.
7.1 DMCA Notice-and-Takedown Policy
Mira AI LLC respects the intellectual property rights of others. If you believe content transmitted or shared through the Software infringes your copyright, you may submit a notice to our designated agent containing: a physical or electronic signature of the copyright owner or authorized representative; identification of the copyrighted work claimed to have been infringed; identification of the material claimed to be infringing and information reasonably sufficient to locate it; your contact information (address, phone number, email); a statement of good-faith belief that the use is not authorized; and a statement, under penalty of perjury, that the information is accurate and that you are authorized to act on behalf of the copyright owner. Notices should be sent to support@mirakindred.com (our designated DMCA contact). We will respond to valid notices in accordance with applicable law, which may include removing or disabling access to the material and, in appropriate circumstances, terminating accounts of repeat infringers.
8. Disclaimers
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. MIRA AI LLC DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT GENERATED OUTPUT WILL MEET YOUR EXPECTATIONS OR COMPLY WITH ANY PARTICULAR LAW OR REGULATION.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MIRA AI LLC AND ITS FOUNDER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $50, WHICHEVER IS GREATER.
10. Termination
We may suspend or terminate your account or access to hosted services (such as authentication or billing) at any time for violation of these Terms. Because the Software is local-first, termination of hosted services does not remove software already installed on your device, though certain features tied to your account may stop functioning.
11. Governing Law
These Terms are governed by the laws of the State of Idaho, without regard to its conflict-of-laws principles. Any dispute arising under these Terms shall be resolved in the state or federal courts located in Idaho, and you consent to the personal jurisdiction of such courts.
12. Changes to These Terms
We may update these Terms from time to time. Material changes will be reflected by an updated "Last updated" date and version number. Continued use of the Software after changes take effect constitutes acceptance of the revised Terms.
